These Terms of Service (the "Terms") govern access to and use of Quore, a software-as-a-service platform for designing, quoting, issuing and distributing insurance products (the "Service"). The Service is operated by Activar Insurtech SAS (CUIT 30-71678699-0), a company organized under the laws of the Argentine Republic with its registered address at Av. Ricardo Balbín 3251, Ciudad Autónoma de Buenos Aires ("Activar", "we" or "us").
By creating an account, signing an order form or using the Service, the organization you represent (the "Customer") accepts these Terms. If you accept them on behalf of an organization, you confirm that you have authority to bind it. If a signed agreement between Activar and the Customer exists, that agreement prevails over these Terms where they conflict.
1. The Service
Quore lets insurers, brokers, MGAs and other distributors (each a "tenant") define insurance products through a configuration manifest, calculate quotes, issue policies, collect payments through third-party providers, publish distribution channels (widgets, portals and APIs) and connect external systems.
Quore is a technology tool. Activar is not an insurer, broker or insurance intermediary, does not underwrite risk, does not give insurance, legal or tax advice, and is not a party to the insurance contracts that the Customer issues to its own clients through the Service.
We may improve, change or discontinue features of the Service. If we remove a feature that is material to the Customer's subscription, we will give reasonable prior notice.
2. Accounts and access
The Customer must provide accurate registration information and keep it up to date. The Customer is responsible for the users it invites, for the roles and permissions it assigns, and for all activity performed under its accounts and API keys.
Credentials and API keys are confidential. The Customer must keep them secure, rotate them when compromised and notify us promptly at hola@activar.app of any unauthorized access it becomes aware of.
Sandbox environments are provided for testing only and must not be used to issue real policies or process real payments.
3. Acceptable use
The Customer will not, and will not allow others to:
- use the Service in breach of applicable law, including insurance, consumer protection, anti-money laundering and data protection regulations;
- upload unlawful content, malware or data that it has no right to process;
- attempt to access other tenants' data, probe or bypass security controls, or interfere with the integrity or performance of the Service;
- send unsolicited communications through the Service's email or notification features;
- reverse engineer the Service, except to the extent permitted by law, or resell it without our written authorization;
- use the Service to build a competing product.
We may suspend access, in whole or in part, when reasonably necessary to prevent harm to the Service, to other customers or to third parties, or to comply with law. When possible, we will notify the Customer beforehand and restore access once the issue is resolved.
4. Customer responsibilities
The Customer is solely responsible for:
- the insurance products it configures, including coverages, formulas, rates, pricing, taxes, terms and conditions, and policy documents;
- obtaining and maintaining the authorizations, registrations and approvals required by the Superintendencia de Seguros de la Nación (SSN) or any other competent authority, and complying with insurance regulations in every jurisdiction where it operates;
- the information and disclosures provided to its own clients, and the legal basis for collecting and processing their personal data;
- the accuracy of the data it enters into the Service and the review of quotes, policies and documents before relying on them;
- the relationship with its own payment providers, intermediaries and clients.
Regulatory compliance of the Customer's insurance activity remains with the Customer at all times, even when the Service automates part of that activity.
5. Fees and billing
Fees, plans, usage limits and billing periods are those shown on our pricing page or agreed in the applicable order form. Unless stated otherwise, fees are billed in advance, are non-refundable and exclude applicable taxes, which will be added as required by law.
Subscription charges are processed by third-party payment providers. If a payment fails, we may retry the charge and, after reasonable notice, suspend the Service until the balance is settled.
We may change our fees with at least thirty (30) days' notice. Changes apply from the next billing period.
6. Availability and support
We make commercially reasonable efforts to keep the Service available and to perform scheduled maintenance outside business hours whenever possible. Specific availability commitments (SLAs) apply only when expressly agreed in an order form.
The Service depends on third-party infrastructure and providers (hosting, payments, email). We are not responsible for interruptions caused by those providers, by the Customer's systems or by events beyond our reasonable control.
7. Customer data and privacy
The Customer retains all rights over the data it and its clients submit to the Service ("Customer Data"). The Customer grants Activar a limited license to host, process and transmit Customer Data solely to provide, secure and support the Service.
Regarding personal data of its clients, the Customer acts as data controller and Activar acts as data processor, following the Customer's instructions. Our Privacy Policy describes how we handle personal data, and forms part of these Terms.
Quore never stores full card numbers. It keeps only the last four digits, the card brand and the cardholder name. The CVV is never stored. Card data is processed by the payment providers the Customer selects.
8. Intellectual property
The Service, its software, design, documentation and the Quore brand are owned by Activar or its licensors. These Terms grant the Customer a non-exclusive, non-transferable right to use the Service during the subscription term; no other rights are granted.
Product manifests, formulas, rate tables and content created by the Customer belong to the Customer. If the Customer sends us feedback or suggestions, we may use them freely to improve the Service.
9. Confidentiality
Each party will keep confidential the non-public information it receives from the other party, use it only to perform these Terms and protect it with at least reasonable care. This obligation does not apply to information that is public, already known, independently developed or lawfully received from a third party, nor to disclosures required by law or by a competent authority, in which case the disclosing party will notify the other when legally possible.
10. Disclaimer and limitation of liability
Except as expressly stated in these Terms, the Service is provided "as is". We do not warrant that quotes, calculations or documents generated from the Customer's configuration are correct for the Customer's business or compliant with its regulatory obligations.
To the maximum extent permitted by law, neither party will be liable for indirect or consequential damages, loss of profits, revenue or data, or business interruption. Activar's total liability arising out of or related to these Terms is limited to the fees paid by the Customer for the Service in the twelve (12) months preceding the event that gave rise to the claim.
These limitations do not apply to liability arising from willful misconduct (dolo) or gross negligence, or to any liability that cannot be limited under applicable law.
11. Indemnity
The Customer will indemnify and hold Activar harmless from third-party claims, including claims by its own clients or by regulators, arising from the Customer's insurance products, pricing, policies, regulatory compliance, Customer Data or breach of these Terms.
Activar will indemnify the Customer from third-party claims alleging that the Service, as provided by us, infringes that third party's intellectual property rights.
12. Term, termination and data export
These Terms apply while the Customer has an active account or subscription. The Customer may cancel at any time from its account settings or by writing to us; cancellation takes effect at the end of the current billing period.
Either party may terminate for material breach that is not cured within fifteen (15) days of written notice. We may also terminate immediately in case of serious or repeated violations of the acceptable use rules.
For thirty (30) days after termination, the Customer may export its Customer Data using the Service's export features or by request. After that period we will delete or anonymize Customer Data, except for information we must retain to comply with legal, tax or accounting obligations.
13. Changes to these Terms
We may update these Terms from time to time. We will publish the new version on this page with its update date and, for material changes, notify account administrators at least thirty (30) days in advance. Continued use of the Service after the effective date means acceptance of the updated Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Argentine Republic. Any dispute will be submitted to the ordinary courts of the Ciudad Autónoma de Buenos Aires, and the parties waive any other forum or jurisdiction that may apply.
